Institutional factors contributing to the under-enforcement of merger law

There is a general consensus that US merger enforcement has been overly lax in recent years. While much has been written about the standards courts use to evaluate challenges to mergers, little attention has been paid to the inner workings of the antitrust agencies and how that affects enforcement. This article examines three aspects of agency merger practice and suggests improvements that would improve merger enforcement.
